These Invite & Earn Terms (“Terms”) govern participation in the Invite & Earn referral program (the “Program”) for Jaz (the “Platform”), operated by Digital Services SG Six Pte. Ltd. (“Company”, “we”, “us” or “our”).

By creating or sharing an Invite Code, or by applying an Invite Code at checkout, you (“you” or “your”) agree to these Terms in addition to the Platform’s primary Terms and Conditions available at jaz.ai/legal (the “Platform Terms”). In the event of conflict, these Terms apply solely to the Program, Invite Codes, Referee Discounts and Referral Rewards, and the Platform Terms apply in all other respects.

1. Definitions

Capitalized terms used but not defined in these Terms have the meanings given in the Platform Terms. The following definitions apply in these Terms unless inconsistent with the context or otherwise specified.

“Billing Account” means an account on the Platform through which Fees are paid, which has its own billing currency and may pay for one or more Organizations.

“Invite Code” means a code created by a Referrer through the Invite & Earn feature on the Platform for use under the Program.

“Market” means the country or territory of the Organization being subscribed at checkout, as recorded on the Platform.

“Program Settings” means the amounts, currencies, eligible Plans, eligible Markets, limits and other parameters of the Program, as determined by us and displayed in the Invite & Earn feature or at checkout from time to time.

“Qualifying Invoice” means the first invoice issued for a Qualifying Subscription.

“Qualifying Subscription” means a Subscription to a quarterly or annual Plan, or such other Plan as we may designate as eligible from time to time, purchased by a Referee with a valid Invite Code applied.

“Referee” means the User who applies an Invite Code at checkout, together with the Billing Account and Organization for which that checkout is completed.

“Referee Discount” means the discount applied to a Qualifying Invoice under Section 5 (Referee Discount).

“Referral” means the record created when a Referee completes a checkout for a Qualifying Subscription with a valid Invite Code applied.

“Referral Reward” means the credit earned by a Referrer under Section 6 (Referral Rewards).

“Referrer” means the individual User who creates and owns an Invite Code.

“Reward Billing Account” means the Billing Account selected by a Referrer for an Invite Code under Section 3 (Invite Codes), into which Referral Rewards earned through that Invite Code are credited.

2. Eligibility to Refer

Any User with an Account in good standing may participate in the Program as a Referrer, including a User on a Free Plan. An Account is in good standing if it is not suspended, restricted or deactivated, has no overdue Fees, and is not, in our reasonable opinion, in breach of these Terms or the Platform Terms. A Referrer is always an individual User and not an Organization. Employees, officers, contractors and sales agents of the Company and its affiliates are not eligible to participate in the Program as Referrers. We may determine eligibility to participate in the Program at our sole discretion, and may exclude any User or category of Users from the Program at any time, without giving reasons.

3. Invite Codes

You may create Invite Codes through the Invite & Earn feature, up to the maximum number we permit from time to time. When you create an Invite Code, you must select a Reward Billing Account of which you are a User.

Invite Codes must meet the format requirements displayed in the Invite & Earn feature. We may refuse, change or remove any Invite Code that we consider offensive, misleading, confusingly similar to our or any third party’s name or trademark, or otherwise inappropriate.

You may rename an Invite Code until it is first used in a Referral. After first use, the name of the Invite Code is locked, but the Invite Code remains active and may continue to be shared.

Invite Codes are personal to you. You may not sell, transfer or assign an Invite Code, or offer any payment, benefit or incentive in exchange for its use. We may suspend, disable or withdraw any Invite Code at any time. Invite Codes stop working if your Account or User access is suspended, deactivated or deleted.

4. Referee Eligibility

An Invite Code may be applied only where, at the time of checkout and again at the time the Subscription is completed, all of the following conditions are met:

(a) New customer. The Referee User, the Billing Account and the Organization have never paid for any Subscription, or for any pay-as-you-go or other usage-based Services, on the Platform, on any Plan, in any Market, at any time. Use of a Free Plan, or a Free Trial that did not convert to a paid Subscription, does not count as payment for this purpose;

(b) Qualifying Plan. The Subscription is a Qualifying Subscription. Monthly Plans and pay-as-you-go or other usage-based options are not eligible. If the Referee starts on a monthly Plan or a pay-as-you-go or usage-based option, they may not apply an Invite Code later, including on a change of Plan under the Platform Terms;

(c) Applied at checkout. The Invite Code is entered by the Referee in the Platform’s self-service checkout before the Subscription is completed. Invite Codes cannot be applied after checkout, except where we agree to do so in our sole discretion;

(d) No self-referral. The Invite Code does not belong to the Referee User, or to any User who is an administrator of the Billing Account used at checkout;

(e) Eligible Market. The Program is available in the Market of the Organization being subscribed; and

(f) One Referral only. The Referee User, the Billing Account and the Organization have not previously been the Referee in any Referral.

We may refuse any Invite Code, or decline to apply it, at our sole discretion.

5. Referee Discount

Where a valid Invite Code is applied, the Referee receives a discount on the Qualifying Invoice in the amount and currency set out in the Program Settings and displayed at checkout. The Referee Discount applies once, to the Qualifying Invoice only. Subsequent invoices and renewals are charged at the applicable Fees without the Referee Discount.

Unless we determine otherwise, Invite Codes and Referee Discounts cannot be combined with any other discount, promotion or offer, including partner, reseller or other special pricing. We may determine in our sole discretion which discounts, if any, may be combined with an Invite Code, and the order in which they apply. Where an Invite Code cannot be combined with a discount or pricing arrangement in effect for the Organization or Billing Account, the option to apply an Invite Code may not be available.

The Referee Discount cannot reduce the amount payable on the Qualifying Invoice below zero. Any unused portion is forfeited. The Referee Discount has no cash value, and is not refundable, transferable or exchangeable.

6. Referral Rewards

A Referrer earns a Referral Reward when the Qualifying Invoice for a Referral has been paid in full and the payment has been received and settled by us. The amount and currency of the Referral Reward are as set out in the Program Settings in effect when the Referral was created.

Referral Rewards are credited to the Reward Billing Account as a credit that may be applied against future Fees payable on that Billing Account. Referral Rewards are not cash, cannot be withdrawn, redeemed for cash, transferred or exchanged, and do not earn interest. Where a Referral Reward cannot be credited to the Reward Billing Account, including because of a difference in currency, we may hold the Referral Reward, credit it to another eligible Billing Account of which you are a User, or decline to issue it, at our sole discretion.

A Referral Reward is not earned, and no Referral Reward is payable, where:

(a) the Qualifying Invoice is canceled, voided or not paid in full;

(b) at the time the Qualifying Invoice is paid, the Invite Code has been disabled, or your Account or User access has been suspended, deactivated or deleted;

(d) the Referral is in breach of these Terms or the Platform Terms.

Each Referral may give rise to no more than one (1) Referral Reward. We may impose limits on the number of Referrals or the value of Referral Rewards from time to time.

We may, but are not obliged to, notify you when a Referral Reward is earned or credited. Failure to send or receive any notification does not affect whether a Referral Reward has been earned.

7. Reversals and Adjustments

We may withhold, cancel, reverse, adjust or recover any Referee Discount or Referral Reward, in whole or in part, including any amount already credited to or applied on a Billing Account, where:

(a) the Qualifying Invoice or any related payment is refunded, charged back, reversed or disputed;

(b) the Qualifying Subscription is canceled or terminated;

(d) we reasonably suspect fraud, abuse or any breach of these Terms or the Platform Terms.

We may recover any such amount by deducting it from the balance of the relevant Billing Account, by adjusting a future invoice, or by invoicing you or the Referee for it. Our records of Referrals, Referee Discounts and Referral Rewards shall be conclusive and binding absent manifest error, and our determinations under these Terms are final.

8. Prohibited Conduct

In connection with the Program, you must not:

(a) refer yourself, including by creating or using additional Users, Accounts, Billing Accounts or Organizations, or by creating, combining, splitting or otherwise structuring Users, Accounts, Billing Accounts or Organizations, to obtain a Referee Discount or Referral Reward;

(b) send unsolicited messages or spam, or share Invite Codes in breach of any applicable law, including anti-spam, consumer protection and data protection laws;

(c) bid on or use “Jaz” or any confusingly similar term in paid search, social or other advertising, or publish Invite Codes on coupon, deal or cashback websites;

(d) make any false, misleading or unauthorized statement about us or the Platform, or suggest that you are our employee, agent or representative; or

(e) otherwise use the Program in a manner that, in our reasonable opinion, is fraudulent, abusive or inconsistent with its purpose of introducing new customers to the Platform.

If we determine, or reasonably suspect, that you have breached this Section or any other provision of these Terms, we may, without notice or liability and in addition to our rights under the Platform Terms: disable any or all of your Invite Codes; withhold, cancel, reverse or recover any Referee Discount or Referral Reward under Section 7 (Reversals and Adjustments); exclude you from the Program; and suspend or terminate your Account in accordance with the Platform Terms.

9. Professional and Advisor Referrers

If you are an accountant, bookkeeper, tax agent or other professional advisor, you are solely responsible for complying with any professional, ethical, regulatory or contractual obligations that apply to you in connection with the Program, including any obligation to disclose to your clients that you may receive a Referral Reward. Referral Rewards are provided solely under these Terms and do not constitute a fee, commission or other payment for any professional services. We are not responsible for your compliance with such obligations.

10. Other Referral and Partner Arrangements

The Program is separate from any partner, reseller, affiliate, referral or similar agreement between us and you, the Referee or any related person. Unless we expressly agree otherwise in writing, a Referral, Referee or Subscription may not give rise to benefits under both the Program and any such agreement, and we may determine in our sole discretion which arrangement applies.

11. Privacy

To operate the Program, we may show a Referrer limited information about each Referral, such as the first name and last initial of the Referee User, the date of the Referral, the Invite Code used, and the status of the Referral. We do not show a Referrer the Referee’s Plan, Fees or billing details. We collect, use and disclose personal data in connection with the Program in accordance with our Privacy Policy, available at jaz.ai/legal.

12. Changes to and Termination of the Program

We may change the Program Settings at any time, including the amount and currency of Referee Discounts and Referral Rewards, eligible Plans, eligible Markets, and the maximum number of Invite Codes. Changes take effect when displayed in the Invite & Earn feature or at checkout. Unless we determine otherwise, a Referral is assessed under the Program Settings in effect when it was created, subject always to Section 7 (Reversals and Adjustments).

We may amend these Terms at any time. Amended Terms take effect from the time of posting on the Platform or our website, and you shall be bound by the amended Terms if you continue to participate in the Program.

We may suspend, modify or terminate the Program, in whole or in any Market, at any time, with or without notice. Referral Rewards already credited to a Billing Account before termination remain subject to the Platform Terms and Section 7 (Reversals and Adjustments).

13. Liability and General

The Program is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we shall not be liable for any failure to apply an Invite Code, track a Referral, or issue a Referee Discount or Referral Reward, including as a result of technical errors, system interruptions, or incorrect information provided by you or a Referee. Our total aggregate liability arising out of or in connection with the Program shall not exceed the value of the Referee Discount or Referral Reward to which the claim relates.

Participation in the Program does not create any partnership, joint venture, agency or employment relationship between you and us, and you have no authority to act on our behalf.

The provisions of the Platform Terms, including those relating to Limitation of Liability, Indemnity, Dispute Resolution and Governing Law, and General, apply to these Terms and the Program. These Terms are governed by and construed in accordance with the laws of Singapore.
